1. Who these terms are between
These terms are an agreement between you and DeadlineFox. In these terms, "we" and
"us" mean DeadlineFox, "you" means the person or organization using the Service, and
"the Service" means the DeadlineFox application together with the timers, tools,
links, and scripts it serves.
By creating an account or using the Service you accept these terms. If you are
agreeing on behalf of a company, you confirm you are authorized to bind it.
2. What the Service does
DeadlineFox creates deadlines for marketing campaigns, and displays them as countdown
timers in emails and on web pages.
We may change, improve, or remove features over time. If we remove something you
depend on, we will give reasonable notice where we can.
3. Your account
- You must give accurate registration details and keep them current.
- You are responsible for activity under your account and for keeping your
credentials secure. Tell us promptly if you think someone else has access.
- You must be at least 18, and using the Service for business purposes.
- One account is for one business. You may not resell or share access to the
Service unless we have agreed to it in writing.
4. Plans and billing
Current plans, their prices, and their limits are shown on our
pricing page, which is the authoritative source.
- Payment is taken through Stripe. By purchasing you also accept
Stripe's terms for the payment itself. We do not receive or store your card
details.
- Annual plans renew automatically each year at the then-current
price for that plan, until cancelled. You can cancel at any time, and your plan
continues to the end of the period you have paid for.
- Lifetime plans are a single payment with no recurring fee.
"Lifetime" refers to the lifetime of the Service, not your own lifetime, and not a
guarantee that the Service will run forever. If we ever discontinue the Service
entirely, section 12 applies.
- Plan limits apply to every plan and are shown on the pricing
page. We will email you as you approach a limit, and again when you reach it. Past
a short grace allowance above it, your campaigns are paused: timers stop being
served and no new deadlines are issued, for contacts you already have as well as
new ones. Nothing is deleted, and your campaigns resume as soon as you upgrade, or
when the allowance resets at the start of the next calendar month.
- Taxes may be added where the law requires it.
5. Refunds
We offer a 30-day money-back guarantee. A request for a refund must be sent to
support@deadlinefox.com within 30 days
of your initial purchase. Outside that 30-day window, payments are non-refundable
except where the law says otherwise.
A refund ends your access to the Service, including on lifetime plans. The guarantee
is meant for people who genuinely tried the product, so we may decline repeated
purchase-and-refund cycles on the same account or by the same person.
6. Acceptable use
You agree not to use the Service to:
- present a deadline you do not intend to honor, or make claims about an offer
expiring that are untrue;
- send messages to people who have not agreed to hear from you, or otherwise
breach marketing, anti-spam, or consumer protection law that applies to you;
- promote anything unlawful, or content that is deceptive, harassing, or
infringing;
- attempt to break, overload, reverse engineer, or gain unauthorized access to the
Service or the systems it runs on;
- process sensitive personal information about your contacts through the Service,
including health, financial account or payment card, government identifier, or
biometric data;
- resell the Service, or use it to build a competing product.
You are responsible for the legality of your own campaigns. If you use the Service
in breach of this section we may suspend or close your account.
7. Your data and your contacts
You own your content and your campaign data. You grant us only the permission we
need to host and process it in order to run the Service for you.
Where we handle personal data about your contacts, we do so as a processor acting on
your instructions, and you are the controller. You are responsible for having a
lawful basis to process your contacts' data, and for telling them what they need to
be told. Our Privacy Policy describes exactly what we
hold, which is deliberately minimal.
Our Data Processing Addendum sets out the terms that data
protection law requires between a controller and a processor, including our
sub-processors, our security measures, and the safeguards for international
transfers. It forms part of these terms and applies automatically to your account,
so there is nothing for you to sign or return. If you are an agency running
campaigns for your own clients, it also covers our position as your sub-processor.
You may request a copy of your campaign data, or ask us to delete it, at any time
while your account is open.
8. Our intellectual property
We own the Service, its software, designs, and branding. These terms give you a
limited, non-exclusive, non-transferable right to use it while your account is
active, and nothing more.
9. Availability
We work to keep the Service running continuously, but we do not promise it will be
uninterrupted or error free. Maintenance, third-party outages, and faults happen. We
do not currently offer a contractual uptime guarantee, and we would rather say so
than publish one we have not committed to elsewhere.
10. Third-party services
The Service works alongside third parties you choose, such as your email platform
and your website. We are not responsible for those services, their availability, or
changes they make. If a third party changes something that breaks an integration, we
will do what we reasonably can to adapt.
11. Disclaimers
The Service is provided "as is". To the fullest extent the law allows, we exclude
implied warranties of merchantability, fitness for a particular purpose, and
non-infringement.
We do not warrant that using deadlines in your marketing will increase your sales.
The guarantee in section 5 is a refund, not a promise of results.
12. Limitation of liability
We are not liable for indirect, incidental, special, or consequential loss, or for
lost profits, lost revenue, or lost data arising out of or relating to the Service,
even if we were told such loss was possible.
Our total liability arising out of or relating to the Service is limited to the
total amount you have paid us for the Service.
Nothing in these terms excludes liability that cannot lawfully be excluded,
including for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from
your use of the Service in breach of these terms, from your content, or from your
handling of your contacts' data.
If such a claim is made, we will tell you promptly, will not settle it without asking
you first, and will let you take part in defending it. We will give you the
information about the claim that you reasonably need.
14. Suspension and termination
You may stop using the Service and close your account at any time by contacting us.
We may suspend or close an account that breaches these terms, that puts the Service
or other customers at risk, or where we are required to by law. Where it is
reasonable to do so, we will warn you first and give you a chance to put things
right. If we close your account without cause, we will refund any unused portion of
a prepaid annual plan.
If we ever discontinue the Service entirely, we will give customers reasonable
notice, and offer refunds for any unused portion of annual plans.
15. Changes to these terms
We may update these terms as the product and the law change. The date at the top
shows the current version. If a change materially affects your rights, we will tell
you by email before it takes effect, and continuing to use the Service afterwards
means you accept it.
16. General
- Entire agreement. These terms, with the Privacy Policy and the
Data Processing Addendum, are the whole agreement between us about the Service, and
they replace anything said or written beforehand, including anything on our
marketing pages. This does not limit liability for fraud.
- Severability. If any part of these terms turns out to be
unenforceable, that part is narrowed or removed only as far as necessary, and the
rest keeps working.
- Survival. Sections 7, 8, 11, 12, and 13 continue to apply after
your account closes, along with anything else that by its nature should.
- Events outside our control. Neither of us is liable for a delay
or failure caused by something outside our reasonable control. The Service runs on
third-party infrastructure, so an outage at one of those providers is such an
event.
- Assignment. You may not transfer your account or these terms
without our written consent. We may transfer them to a successor if the business is
sold or reorganized, and your plan and your data go with them.
17. Governing law
These terms are governed by the laws of New Zealand, and the courts of New Zealand
have exclusive jurisdiction, except
that consumer protection law in your own country may give you rights that this
section cannot remove.
